ZCoders provides technology and software development services based on the requirements agreed upon with each client.
The scope, specifications, timelines, pricing, milestones, deliverables, and other project requirements may be defined through a proposal, quotation, statement of work, contract, or other written agreement.
Where a separate agreement exists between ZCoders and a client, the terms of that agreement will govern the specific project or engagement.
Clients are responsible for providing accurate and complete information, content, materials, credentials, approvals, and other resources reasonably required for the successful completion of a project.
Clients must ensure that any materials supplied to ZCoders, including text, images, logos, data, software, or other content, do not infringe the rights of any third party.
Delays caused by missing information, delayed approvals, or changes in requirements may affect project timelines and delivery dates.
Any changes to the agreed project scope may require additional time and charges.
ZCoders reserves the right to review and approve requests for additional features, modifications, integrations, or other work outside the original scope.
Additional work will be communicated to the client before implementation where reasonably practicable.
Fees, payment schedules, deposits, milestones, and other financial terms will be specified in the applicable proposal, quotation, invoice, or agreement.
Unless otherwise agreed in writing, clients are responsible for making payments according to the agreed payment schedule.
Failure to make required payments may result in the suspension or delay of services or project work.
Unless otherwise agreed in writing, ZCoders retains ownership of its pre-existing intellectual property, including proprietary tools, frameworks, libraries, templates, methodologies, processes, and reusable components developed independently of a specific client project.
Ownership or licensing of project-specific deliverables will be determined by the applicable agreement between ZCoders and the client.
Clients must not reproduce, resell, distribute, or commercially exploit ZCoders’ proprietary materials without appropriate authorization.
Projects may involve third-party services, platforms, APIs, hosting providers, software libraries, payment providers, cloud services, or other external technologies.
ZCoders is not responsible for failures, outages, changes, restrictions, or discontinuation of third-party services that are outside our reasonable control.
Additional third-party fees may apply where required for a project.
ZCoders and its clients may have access to confidential or proprietary information during the course of an engagement.
Each party agrees to take reasonable measures to protect confidential information and to use such information only for purposes related to the applicable business or project relationship.
This obligation does not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
ZCoders will make reasonable efforts to provide services professionally and in accordance with the agreed project requirements.
However, we do not guarantee that our website, software, applications, or services will always be uninterrupted, error-free, or available at all times.
Software and digital services may depend on third-party infrastructure, hosting providers, APIs, networks, and other technologies.
To the fullest extent permitted by applicable law, ZCoders shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website, services, software, or deliverables.
This may include loss of profits, loss of business opportunities, loss of data, business interruption, or damages resulting from third-party services.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
Either party may terminate a service engagement in accordance with the terms of the applicable agreement.
ZCoders may suspend or terminate access to its website or services where reasonably necessary, including in cases of misuse, unlawful activity, non-payment, breach of these Terms, or other material violations.
Termination does not affect rights or obligations that accrued before termination.
ZCoders shall not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet or telecommunications failures, power outages, cyber incidents, governmental actions, labor disputes, third-party service failures, or other events that could not reasonably have been prevented.
These Terms shall be governed by and interpreted in accordance with the applicable laws of Pakistan, unless otherwise agreed in a written contract between ZCoders and the client.
Any disputes shall be subject to the jurisdiction of the competent courts of Pakistan.
ZCoders may update or modify these Terms from time to time.
